Terms of Service

These Terms of Service ("Terms") govern access to and use of the Dupexi web application, mobile applications, and related services (collectively, the "Service"). By using the Service, you agree to these Terms and our Privacy Policy.

1) Agreement to these terms

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

2) The service

Dupexi provides workforce scheduling, shift management, work logs, and related tools for managers and workers. Features may vary by plan, platform, and role. We may update or discontinue features with reasonable notice where practicable.

3) Accounts and organizations

You are responsible for safeguarding login credentials and for activity under your account. Organization owners and managers control invitations, roles, and access for their workspace. You must provide accurate information and comply with applicable laws when using the Service.

4) Subscriptions and billing

Paid plans, trials, and billing are described on our Pricing page and in-product. Fees, renewal terms, and cancellation rules are presented at checkout or in your billing settings. Taxes may apply. Failure to pay may result in suspension or termination of paid features.

5) Acceptable use

You may not misuse the Service, attempt unauthorized access, interfere with other users, upload unlawful content, or use the Service in violation of applicable law. We may investigate and suspend accounts that pose security or abuse risks.

6) Intellectual property

Dupexi and its licensors retain all rights in the Service, software, branding, and documentation. You retain rights in content you submit (such as schedules and work logs). You grant us a limited license to host and process that content solely to operate the Service.

7) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUPEXI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100) IF NO FEES WERE PAID.

9) Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if continued provision becomes impractical. Provisions that by nature should survive termination will survive.

10) Changes to these terms

We may update these Terms from time to time. We will post the updated version with a revised "Last updated" date. Continued use after changes become effective constitutes acceptance of the updated Terms.
