These Terms of Service ("Terms") govern access to and use of the Dupexi web application, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy.
1) Agreement to these terms
If you access or use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Service.
2) The service
Dupexi provides workforce scheduling, shift management, work logs, employee coordination, and related workforce management tools for organizations and their invited users.
Features may vary based on subscription plan, platform, organization settings, and user role. We may modify, improve, suspend, or discontinue features from time to time. Where reasonably practicable, we will provide notice of material changes.
3) Accounts and organizations
Organization owners and managers are responsible for managing access to their workspace, including inviting users, assigning roles, and maintaining accurate account information.
Workers may only access an organization through a valid invitation issued by an authorized organization representative.
You are responsible for safeguarding your login credentials and for all activities that occur under your account.
4) Customer data and ownership
The customer organization retains ownership of all data submitted to the Service, including schedules, shift records, work logs, employee information, and other organizational content.
Dupexi does not claim ownership of customer data.
You grant Dupexi a limited license to host, process, transmit, back up, and otherwise use customer data solely as necessary to operate, maintain, secure, and improve the Service.
5) Data protection
For personal data processed through the Service:
- The customer organization acts as the Data Controller.
- Dupexi Group Oy acts as the Data Processor.
Both parties agree to comply with applicable data protection laws, including the General Data Protection Regulation (GDPR).
Additional data protection obligations may be governed by a separate Data Processing Agreement where required.
6) Subscriptions and billing
Paid subscriptions are billed monthly unless otherwise specified.
Subscriptions automatically renew until cancelled.
Fees, subscription details, trial periods, and applicable taxes are presented during checkout and within billing settings.
Payments are processed through Stripe. By purchasing a subscription, you agree to Stripe's applicable terms and policies.
Failure to pay may result in suspension or termination of paid features.
7) Refunds
Unless otherwise required by law, subscription fees are non-refundable after any applicable trial period has ended.
If you believe there has been a billing error or exceptional circumstance, you may contact our support team. Refund requests will be reviewed on a case-by-case basis.
8) Acceptable use
You may not:
- Attempt unauthorized access to the Service or related systems.
- Interfere with the operation, security, or availability of the Service.
- Use the Service for unlawful purposes.
- Upload, distribute, or transmit content that violates applicable laws or third-party rights.
We reserve the right to investigate misuse and suspend or terminate accounts that create security, legal, or operational risks.
9) Intellectual property
Dupexi and its licensors retain all rights, title, and interest in the Service, software, branding, documentation, and related intellectual property.
Except for the limited rights expressly granted under these Terms, no rights are transferred to users or organizations.
10) Availability and maintenance
We strive to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation.
Maintenance, updates, infrastructure issues, third-party service interruptions, and unforeseen events may result in temporary downtime or reduced functionality.
The Service is provided on a best-effort basis, and no specific uptime commitment or service-level agreement is currently offered.
11) Third-party services
Certain features of the Service rely on third-party service providers, including payment processing providers such as Stripe.
Dupexi is not responsible for interruptions, failures, or actions caused by third-party services outside our reasonable control.
12) Disclaimers
To the maximum extent permitted by law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise.
We do not warrant that the Service will be uninterrupted, error-free, secure, or suitable for every intended use case.
13) Limitation of liability
To the maximum extent permitted by law, Dupexi will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, or data.
Our total aggregate liability arising from or related to the Service shall not exceed the total fees paid by the customer organization to Dupexi during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
14) Suspension and termination
You may stop using the Service at any time.
We may suspend or terminate access if:
- These Terms are violated.
- Required by law.
- Necessary to protect the security, integrity, or operation of the Service.
Customer data may be deleted upon verified request from authorized organization representatives or in accordance with our data retention policies.
Provisions that by their nature should survive termination will continue to apply after termination.
15) Changes to these terms
We may update these Terms from time to time.
Updated versions will be published with a revised "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
16) Governing law and jurisdiction
These Terms are governed by the laws of Finland, excluding conflict of law rules.
Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Finland.
